(Hereinafter referred to as the “Exclusive Partner”)

1. Purpose of the Agreement

This legally binding Agreement outlines the terms and conditions for an Exclusive Business Partnership in overseas recruitment and placement services, where both parties agree to share profits equally (50%-50%) and to operate in good faith.

2. Profit Sharing Terms

• Profit Sharing Ratio: 50% Company – 50% Partner

• Applicable for all candidate placements referred or managed under this partnership.

• Profits are calculated after deducting actual and necessary operational costs (e.g. processing, visa fees, tickets, advertisement, etc.).

3. Exclusivity Clause

• The Exclusive Partner shall not engage, associate, or work directly or indirectly with any other manpower consultancy, recruitment agency, or related company for a period of:

  • Two (2) years from the date of agreement, OR

  • Until 1,000 candidates are successfully placed through this partnership,
    Whichever occurs first.

• Breach of this clause shall result in immediate termination and possible legal action, including recovery of losses and damages.

4. Success Definition & Verification

• A placement is considered successful once the candidate boards the flight and lands in the designated country for work as arranged.

• The Company shall provide verified flight details and deployment proof monthly.

5. Payment & Settlement Cycle

• Monthly reconciliation of profits will be done from 1st to end of each month.

• Settlements and profit disbursement will be completed between 1st and 15th of the following month.

• Payment shall be made through mutually agreed banking channels.

6. Responsibilities of the Exclusive Partner

• Source, screen, and refer genuine, qualified candidates.

• Promote the partnership brand only under MGSbazaar’s name.

• Follow ethical recruitment practices and avoid false promises.

• Maintain complete transparency and daily reporting.

7. Responsibilities of the Company

• Provide job orders and documentation support.

• Handle visa processing, offer letters, and flight bookings.

• Maintain transparency in costing and candidate feedback.

• Share accurate profit statements and make timely payments.

8. Confidentiality

Both parties shall maintain strict confidentiality regarding:

• Candidate data

• Business models

• Financial details

• Any internal communications

9. Termination Clause

• Agreement may only be terminated under:

  • Mutual consent in writing

  • Breach of exclusivity or fraud

  • Completion of 2 years or 1,000 candidates

• Any remaining dues must be cleared within 15 working days post-termination.

10. Legal Jurisdiction

This Agreement shall be governed under Indian Law. Any legal dispute shall be addressed under the jurisdiction of Kolkata, West Bengal.
